Corporate Governance Assistant

Castle Water is seeking to appoint a seeking a highly organised and detail-oriented Corporate Governance Assistant to support our corporate governance and compliance functions.

Reporting to the Company Secretary, the Corporate Governance Assistant will play a key role in undertaking the company’s corporate secretarial and corporate governance responsibilities, ensuring compliance with relevant laws and regulations, and supporting the board of directors and senior management.  Support will also be provided to our Director of Corporate Finance and Director of Regulation as part of this role.

As part of this role it is expected that the successful candidate would undertake the Chartered Governance Institute UK and Ireland, Chartered Governance Professional Qualifying Scheme, which will be supported by the company.

  • Assist the Company Secretary in organising and managing board and committee meetings, including preparing agendas, collating and distributing board packs, and drafting minutes
  • Maintain accurate and up-to-date corporate records, including board and committee minutes, resolutions, and statutory registers, in compliance with legal and regulatory requirements
  • Support the Company Secretary in providing advice and guidance to the board of directors and senior management on corporate governance best practices, regulatory requirements, and board policies
  • Assist in the preparation and filing of statutory returns and other regulatory filings with Companies House and other relevant authorities
  • Monitor changes in company law, corporate governance codes, and regulatory requirements, and ensure that the company’s policies and procedures remain compliant and up-to-date
  • Assist in the maintenance of the Company’s Document Library to ensure Policies and Procedures are reviewed regularly, remain up to date and are approved appropriately
  • Provide support to the Director of Corporate Finance for corporate transactions, such as mergers, acquisitions, and restructurings, including due diligence, document preparation, and regulatory filings
  • Provide governance support to the Director of Regulation in the form of assistance for submissions to the Regulator
  • Collaborate with internal stakeholders, including legal, finance, regulation and human resources departments, to ensure effective communication and coordination on corporate governance and compliance matters
  • You will be expected to carry out any other duties that may reasonably be required in line with your main duties
  • You must be prepared to take a “hands on” approach as requires
  • Graduate in business, law, finance or similar degree (or equivalent) preferred
  • Have excellent attention to detail, good computer skills and always be able to maintain strict confidentiality at all times
  • Be proficient in using Microsoft packages e.g. Outlook, Word, Excel and Powerpoint
  • Have comprehensive administration skills with excellent attention to detail
  • Have a confident and professional manner
  • Be self-motivated, have strong organisational skills and have great communication skills
  • Have (and maintain) a flexible/adaptable approach
  • Be able to remain calm under pressure
  • Maintain strict confidentiality in all work-related matters
